Terms of Service

1. Acceptance of Terms

By accessing or using MixTester ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

MixTester reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service constitutes acceptance of modified Terms.

2. Description of Service

MixTester provides a free web-based platform for uploading, hosting, streaming, and comparing audio files for the purpose of gathering feedback on audio mixes. The Service includes features for gapless playback, A/B comparison, voting, and timestamped commenting.

3. Eligibility

You must be at least 13 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

4. User Accounts and Access

No account registration is required to use MixTester. When you create a project, you receive a unique URL to access that project. You are solely responsible for maintaining the confidentiality of your project URLs and any passwords you set. You are responsible for all activities that occur under your project URLs.

5. User Content and License Grant

5.1 Your Content

You retain all ownership rights to any audio files, comments, or other content you upload to the Service ("User Content"). MixTester does not claim any ownership rights to your User Content.

5.2 License to MixTester

By uploading User Content, you grant MixTester a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, cache, stream, transcode, display, and transmit your User Content solely for the purpose of operating and providing the Service. This license terminates when you delete your User Content from the Service, subject to reasonable backup and cache retention periods.

5.3 Your Responsibilities

You represent and warrant that:

  • You own all rights to your User Content, or have obtained all necessary permissions, licenses, and clearances to upload it
  • Your User Content does not infringe any copyright, trademark, patent, trade secret, or other intellectual property or proprietary rights
  • Your User Content complies with all applicable laws and these Terms

6. Prohibited Content and Conduct

You agree NOT to upload, post, or transmit any User Content that:

  • Infringes any copyright, trademark, or other intellectual property rights of any third party
  • Contains malware, viruses, or any malicious code
  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Violates any person's right of privacy or publicity
  • Contains personally identifiable information of minors
  • Is spam or unsolicited advertising
  • Attempts to interfere with, compromise, or disrupt the Service or its servers

You agree NOT to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service, other users' projects, or computer systems
  • Use any automated means (bots, scrapers, etc.) to access the Service without express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove or obscure any proprietary notices on the Service
  • Use the Service in any manner that could damage, disable, or impair the Service

7. Copyright Policy and DMCA Compliance

MixTester respects the intellectual property rights of others and expects users to do the same.

7.1 Copyright Infringement

Uploading copyrighted material without authorization is strictly prohibited and violates these Terms.

7.2 DMCA Takedown Procedure

If you believe that content on MixTester infringes your copyright, please send a DMCA takedown notice to our designated Copyright Agent:

Your notice must include:

  • Physical or electronic signature of the copyright owner or authorized representative
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material claimed to be infringing (specific URL)
  • Your contact information (address, telephone, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

7.3 Counter-Notification

If you believe your content was wrongly removed, you may submit a counter-notification to the same Copyright Agent containing:

  • Your physical or electronic signature
  • Identification of the removed material and its prior location
  • A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification
  • Your name, address, telephone number, and consent to jurisdiction in federal court

7.4 Repeat Infringer Policy

MixTester will terminate access for users who are repeat copyright infringers.

8. Content Monitoring and Removal

MixTester has no obligation to monitor User Content. However, MixTester reserves the right (but has no obligation) to:

  • Review, monitor, or remove any User Content at any time, for any reason, without notice
  • Investigate violations of these Terms
  • Take appropriate legal action against users who violate these Terms
  • Cooperate with law enforcement or court orders

Removal of User Content does not waive or limit any of MixTester's rights or remedies.

9. Data Retention and File Storage

9.1 Retention Period

Projects and uploaded files remain accessible for 30 days from the date of project creation. After 30 days, projects may be automatically deleted without notice.

9.2 Manual Deletion

You may delete your projects and files at any time from the project page.

9.3 No Guaranteed Deletion Timeline

When you delete User Content:

  • Deletion may not be immediate
  • Copies may persist in backups, CDN caches, or other storage systems for reasonable periods
  • Complete removal from all systems may take up to 90 days

9.4 Right to Earlier Deletion

MixTester reserves the right to delete any User Content at any time, including before the 30-day period, for any reason including but not limited to: Terms violations, storage capacity issues, or business necessity.

10. File Size and Usage Limits

  • Maximum file size: 100 MB per track
  • MixTester reserves the right to implement additional usage limits, rate limiting, or bandwidth restrictions at any time
  • Excessive use or abuse of the Service may result in throttling or termination of access

11. Privacy and Data Collection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIXTESTER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING SECURITY, ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS

SPECIFICALLY REGARDING UPLOADED FILES:

  • MIXTESTER DOES NOT WARRANT THAT YOUR FILES WILL BE SECURELY STORED, AVAILABLE WHEN YOU NEED THEM, OR FREE FROM LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS
  • MIXTESTER IS NOT A BACKUP SERVICE
  • YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF ALL USER CONTENT
  • FILES MAY BE LOST, CORRUPTED, DELETED, OR BECOME UNAVAILABLE AT ANY TIME FOR ANY REASON, INCLUDING BUT NOT LIMITED TO: TECHNICAL FAILURES, SECURITY BREACHES, HUMAN ERROR, OR BUSINESS DECISIONS

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIXTESTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • ANY LOSS OF OR DAMAGE TO USER CONTENT
  • ANY BUSINESS INTERRUPTION OR LOST OPPORTUNITIES
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR USER CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MIXTESTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MIXTESTER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO MIXTESTER IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless MixTester and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights, including copyright, trademark, privacy, or other intellectual property or proprietary rights

This indemnification obligation survives termination of these Terms and your use of the Service.

15. Password Protection

Password protection for projects is provided as a convenience feature only. MixTester makes no guarantees regarding the security of password-protected projects.

  • Password protection does not exempt User Content from compliance with these Terms
  • MixTester reserves the right to access password-protected content if necessary for legal compliance, abuse prevention, or technical operations
  • You are responsible for choosing strong passwords and maintaining their confidentiality
  • MixTester is not liable for unauthorized access to password-protected projects

16. Third-Party Links and Services

The Service may contain links to third-party websites or services. MixTester does not endorse or assume responsibility for any third-party sites, products, or services. Your use of third-party services is at your own risk and subject to their terms and policies.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use or export any content from the Service in violation of U.S. export laws and regulations.

18. Termination

18.1 By You

You may stop using the Service at any time. You may delete your projects at any time from the project page.

18.2 By MixTester

MixTester may suspend or terminate your access to the Service at any time, for any reason, including:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Technical or security reasons
  • Discontinuation of the Service

18.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • MixTester may delete your User Content
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: licenses granted by you, disclaimers, limitations of liability, and indemnification

19. Modifications to the Service

MixTester reserves the right to:

  • Modify or discontinue the Service (or any part thereof) at any time, with or without notice
  • Change features, functionality, or file size limits
  • Implement new terms or conditions for use

MixTester shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

20.2 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Ottawa County, Michigan for the resolution of any disputes.

20.3 Informal Resolution

Before filing any formal claim, you agree to first contact MixTester at contact@mixtester.com to attempt to resolve the dispute informally.

20.4 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

20.5 Time Limitation

Any claim or cause of action arising out of your use of the Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MixTester regarding the Service and supersede all prior agreements and understandings.

21.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21.3 Waiver

The failure of MixTester to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without MixTester's prior written consent. MixTester may assign these Terms without restriction.

21.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and MixTester.

21.6 Force Majeure

MixTester shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
